Regulatory advice and compliance

Foreign investment, security and data rules.

Reviews of foreign investment in U.S. companies by the Committee on Foreign Investment in the United States (CFIUS) and by Team Telecom, from the first risk assessment through filing, negotiation with the agencies and any mitigation agreement. Mr. Simkins served as the Justice Department's representative on CFIUS and Team Telecom.

The Outbound Investment Regulations, which restrict U.S. investment in covered technology sectors in countries of concern.

Foreign ownership, control or influence (FOCI) mitigation under the NISPOM, including Special Security Agreements, Proxy Agreements and the Government Security Committee process with the Defense Counterintelligence and Security Agency (DCSA).

Compliance with the Justice Department's Data Security Program, and compliance after closing, including the audits, reports and government meetings a mitigation agreement requires.

Government contracts

For prime contractors, subcontractors and the specialized vendors that support them.

Review and negotiation of prime contracts, subcontracts, teaming agreements and the terms that flow down with them. Compliance questions during performance, and the disputes that arise under them.

We also help companies that are new to government work decide whether, and how, to pursue it.

Technology licensing and commercial agreements

The relationships a technology company depends on.

Software and technology licensing, reseller and OEM arrangements, services agreements and the commercial relationships that carry a company's revenue. Mr. Simkins has negotiated these from the company's side as a founder and CEO, and keeps the legal work proportionate to the deal.

Start-up formation, founder arrangements and the regulatory and commercial questions that come with growth. Mr. Simkins has built three companies and advises founders with that experience.

Law firms engage Laconia as a consultant on matters where technical and security depth matters: CFIUS and Team Telecom reviews involving technology companies, analysis under the Outbound Investment Regulations, Data Security Program compliance, NISPOM mitigation and M&A due diligence relating to government business. We work alongside the firm's team and within its engagement.
