What we do

We handle the legal and regulatory work of operating in regulated markets and selling to the government. We also go beyond legal advice: we work as a partner to companies and other service providers as they scale their business and navigate complex legal and commercial landscapes.

All services
  • Regulatory advice and compliance

Foreign investment reviews (CFIUS and Team Telecom), the Outbound Investment Regulations, FOCI mitigation with DCSA and the Justice Department's Data Security Program.

  • Government contracts

Review and negotiation of prime contracts, subcontracts and teaming agreements, the compliance obligations that come with them and the disputes that arise under them.

  • Technology licensing and commercial agreements

Licensing, reseller and services agreements and the commercial relationships a technology company depends on.

  • Start-ups and transactions

Start-up formation and growth, and regulatory due diligence in acquisitions and investments.

  • Board and monitoring roles

Outside Director, Proxy Holder, Trustee and Third-Party Monitor under DCSA and CFIUS mitigation agreements.

When the problem doesn't fit a category.

Many clients bring us matters that don't sort neatly into a practice area: a regulator asking questions, a contract gone sideways, a deal that needs someone to get it to closing, a partner that has stopped performing. We drop in, work out what matters and get to a resolution. That is as much business judgment as legal advice, and it is the work we are most often asked back for.

We also work alongside a company's existing counsel, and law firms bring us in as consultants on matters where technical and security depth matters.
